    Common questions

How long does company registration take?

Registration is filed online with the MCA. With ready documents and an approved name, incorporation commonly takes one to two weeks. Name objections and document corrections add time.

Does a small private company need a Company Secretary?

A full-time Company Secretary is mandatory only for certain classes, such as listed companies and those above prescribed paid-up capital limits. Every company still has annual filings and meeting records, commonly handled by a Practising Company Secretary.

Can you work with companies outside Raipur?

Yes. Incorporation and annual filings are online, and documents move by email or WhatsApp.

    Incorporation FAQs

What is the minimum capital for a Private Limited Company?

The Companies Act does not prescribe a minimum paid-up capital for a private company. You choose a capital that suits the business, though banks, tenders and licences may expect a certain level.

Can a foreign national or NRI be a director or shareholder?

Yes, subject to the Companies Act and FEMA rules. At least one director must be resident in India, meaning present for 182 days or more in the year. Foreign shareholding triggers filings with the RBI.

Do I need my own office to register a company?

You need a registered office address in India with proof, such as a recent utility bill and, if rented, a rent agreement and the owner's NOC. A residential address can be used if the owner permits.

What happens after the Certificate of Incorporation?

The company opens a bank account, holds its first board meeting, appoints the first auditor, issues share certificates and files Form INC-20A within 180 days. We handle these steps and set up your compliance calendar.

Can a partnership or proprietorship be converted into a company?

Yes. A partnership firm can be converted into a company. We advise on the route and the filings involved.

    LLP FAQs

Is an LLP better than a Private Limited Company?

It depends on the plan. An LLP has lighter compliance and flexible terms, which suits professional and small service businesses. A Private Limited Company is better if you expect to raise equity or issue ESOPs.

Do all LLPs need an audit?

No. Audit is required only above ₹40 lakh turnover or ₹25 lakh contribution. Form 8 must be filed every year regardless.

Can an LLP be converted into a company?

The LLP Act provides for conversion of a partnership firm or private company into an LLP. Moving from an LLP to a company needs a fresh analysis of the route. Speak to us before deciding.

What if earlier Form 11 or Form 8 filings were missed?

Pending returns can still be filed with the additional fee. Clear them before any change in partners or before closing the LLP.

Planning an LLP, or catching up on filings?

    • At least four board meetings a year, with no more than 120 days between two meetings
    • AGM notice, minutes and resolutions
    • Statutory registers of members, directors, charges and share transfers
    • Director disclosures and declarations of independence where applicable
    • Event-based forms such as DIR-12 and PAS-3

Income tax and GST returns are handled by your chartered accountant. We coordinate so the figures match.

    Why on-time filing matters

    • Additional fees keep accumulating. Late ROC filings attract fees that grow with the delay.
    • Directors can be disqualified. Non-filing of financial statements or annual returns for three continuous years can lead to disqualification.
    • A company can be struck off. The Registrar may remove a company that is not filing and not carrying on business.
    • Funding and tenders need clean records. Banks and investors ask for filed returns.

    Behind on filings

    1. Compliance health check

Review MCA master data, filed forms, DIN status and open charges to list what is pending.

    2. Catch-up filing

Pending statements and returns are filed year by year, with the total fee estimated beforehand.

    3. Ongoing calendar

A compliance calendar and reminders so the next cycle is filed on time.

    Annual filing FAQs

Do I need to file if the company had no business?

Yes. A company must hold its AGM and file financial statements and the annual return even with nil turnover. A dormant company can apply for dormant status under Section 455 if it meets the conditions.

Is a statutory audit mandatory for every company?

Yes. Every company must appoint a statutory auditor and have its accounts audited, irrespective of turnover. The audit is done by a chartered accountant.

What is the difference between MGT-7 and MGT-7A?

MGT-7A is the shorter annual return for One Person Companies and small companies. Others file MGT-7.

What if the AGM is delayed?

The AGM must be held within six months of the year end. Delay can attract penalty, and an extension can be sought from the Registrar only in specific cases. Speak to us early so the dates can be reset correctly.

Do you handle companies registered outside Chhattisgarh?

Yes. ROC filings are online with the Registrar who has jurisdiction, so the office location does not limit us.

Get your annual compliance in order.

    FAQs

What is the difference between a Company Secretary and a Practising Company Secretary?

A Company Secretary is a member of the Institute of Company Secretaries of India. A Practising Company Secretary holds a Certificate of Practice and offers professional services to clients, such as secretarial audit, certification and compliance work.

What is a DIN and a DSC?

A DIN is the Director Identification Number allotted by the MCA. A DSC is the Digital Signature Certificate used to sign forms filed online.

What happens if DIR-3 KYC is missed?

The DIN is deactivated and a fee is payable to reactivate it. The director cannot be appointed or sign forms until then.

Can a company run without a physical office?

A company must have a registered office in India that can receive official communication. Many small companies use a director's residence with the owner's permission.

How do I know if my company is a small company?

Classification depends on paid-up capital and turnover limits in the Companies Act and rules, and it affects some filing relaxations. We check your figures against the current limits.

Do you work on a retainer?

Yes. Many clients prefer an annual arrangement covering routine filings and meeting records at a fixed fee. Contact us to discuss one.
